Dave's practice focuses on counseling companies
of all sizes on a variety of corporate matters, including
corporate governance matters, disclosure requirements,
incentive compensation plans, employment, and
miscellaneous advice under California and Delaware
corporate law. In addition, Dave advises his clients on a
variety of transactions, including private financings,
spin-outs, mergers and acquisitions, and a wide range
of services agreements with independent contractors. Dave is considered a key advisor to his clients, providing concise, practical advice on legal issues.
Before joining Silicon Counsel, Dave was a Partner in the corporate department at DLA Piper US LLP (formerly Gray Cary Ware & Freidenrich). In addition to counseling his clients on general corporate matters, during his 15 years at DLA Dave managed numerous sophisticated capital market transactions as well as mergers, corporate investments and spin outs, and private financings.
Dave graduated from UC Davis Law School. He received his undergraduate degree in English literature from Colorado College. Dave is admitted to practice in California.
