Tony Paikeday's practice focuses on complex
business and technology transactions for large companies and VC-funded
start-ups. He also serves as an external general counsel to emerging
companies.
Tony previously served as General Counsel and
EVP of Corporate Development for zBox Company. zBox was a VC-funded
technology company which received coverage from the Wall Street
Journal, New York Times, TIME Magazine, the Oprah Show, and National
Public Radio prior to the acquisition of its product lines. Tony
began his career as an Associate at Shearman & Sterling, LLP,
after a judicial clerkship with the Honorable Eugene F. Lynch
of the United States District Court in San Francisco. Tony has
held leadership roles in various bar associations, including Board
positions with the North American South Asian Bar Association
and the South Asian Bar Association for Northern California. He
has been a featured speaker for the Association of Corporate Counsel,
California Minority Counsel Program, and other bar organizations,
and he enjoys mentoring junior attorneys. Tony received his law
degree at the University of Virginia, where he was admitted to
the Order of the Coif and invited to the University of Virginia
Law Review. Tony received his undergraduate degree in finance
and economics from Rockhurst College, where he graduated ranked

Tom Butler
Partner
Tom Butler’s practice focuses on Securities
and M&A, in addition to general corporate matters. He advises
clients with regard to the structuring and negotiation of a variety
of business combinations, including stock and asset purchases,
mergers and joint ventures. His practice includes venture capital
and other equity and debt financing, as well as employee stock
incentive plans and other issuances of securities. Tom also frequently
acts as outside general counsel to high-tech companies and other
clients, blending strategic guidance with legal advice on a range
of issues such as entity formation, corporate and capital structure,
contracts, and employment matters.
Tom began his legal career with Luce, Forward,
Hamilton & Scripps in San Diego, where he advised public and
private companies with regard to mergers & acquisitions and
a range of capital raising activities from venture capital financing
to initial public offering. He later served as General Counsel
of Semaphore Partners, a technology development and marketing
firm that has worked with Fortune 500 clients such as General
Motors, Continental Airlines, and Procter & Gamble. During
Tom’s tenure, Semaphore had annual revenues of over $30
million, with over 200 employees in San Francisco, New York and
Chicago. Tom created Semaphore’s legal department and was
responsible for all of the company’s legal affairs, including
with respect to employment matters, multi-million dollar client
contracts, strategic partnerships, business disputes and the successful
sale of the company to Publicis Groupe.
Tom graduated cum laude from Harvard Law School.
He received his undergraduate degree in government from Dartmouth
College, also cum laude. He is admitted to the bar in California,

Partner
Dave Hubb's practice focuses on counseling
companies of all sizes on a variety of corporate matters, including
corporate governance matters, disclosure requirements, incentive
compensation plans, employment, and miscellaneous advice under
California and Delaware corporate law. In addition, Dave advises
his clients on a variety of transactions, including private financings,
spin outs, mergers and acquisitions, and a wide range of services
agreements with independent contractors. Dave is considered a
key advisor to his clients, providing concise, practical advice
on legal issues.
Before joining Silicon Counsel, Dave was a Partner in the corporate
department at DLA Piper US LLP (formerly Gray Cary Ware &
Freidenrich). In addition to counseling his clients on general
corporate matters, during his 15 years at DLA Dave managed numerous
sophisticated capital market transactions as well as mergers,
corporate investments and spin outs, and private financings.
Dave graduated from UC Davis Law School.
He received his undergraduate degree in English literature from
Colorado College. Dave is admitted to practice in California.

John Wolfe
Partner
John Wolfe’s practice focuses on corporate
and technology transactions. He handles mergers and acquisitions,
venture capital and other corporate finance transactions, entity
formation and equity incentive plans. On the technology side,
John handles inbound and outbound enterprise software license
agreements, professional services agreements, distribution and
value-added partner agreements, joint ventures, outsourcing agreements,
joint development agreements and internet usage agreements.
John began his legal career with Heller Ehrman
in San Francisco where his practice included public and private
securities offerings, including several IPOs, mergers and acquisitions,
corporate financings, commercial lending transactions and the
purchase and sale of commercial real estate. John later served
as in-house General Counsel for several technology companies,
including Informatica (a provider of software tools and services
for building data warehouses), Bidcom (a provider of internet-enabled
workflow applications for the construction industry) and GlobalNetXchange
(a provider of internet-enabled applications for retail industry
procurement and supply chain management). While in-house, John
was responsible for public securities compliance, corporate governance,
mergers and acquisitions, corporate financings, software licensing,
professional services agreements, distribution and value-added
partner agreements, domestic and international joint ventures,
outsourcing agreements, joint development agreements, commercial
contracts, employment matters and intellectual property protection.
John graduated from Columbia University School
of Law in New York City where he was a Harlan Fiske Stone Scholar.
John received an undergraduate degree in Electrical Engineering
with High Honors from the University of Florida. He is admitted
